Terms of Service

Effective July 7, 2026

These Terms of Service set out the rules for using the tools and services provided by Hi-Res Health Ops, LLC. Please read them carefully.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the tools and services provided by Hi-Res Health Ops, LLC ("Hi-Res," "we," "us," or "our"), including the Nurse Staffing Tool (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Who May Use the Service

The Service is intended for healthcare professionals and organizations. You must be at least 18 years old and have the authority to accept these Terms on behalf of yourself and, where applicable, your organization. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.

3. Not Professional or Staffing Advice

The Service is an informational and analytical tool. It does not provide medical, clinical, legal, financial, or professional staffing advice, and it is not a substitute for the professional judgment of qualified leaders.

Staffing decisions are wholly the responsibility of hospital and department leaders and not Hi-Res or its tools. You are solely responsible for all staffing, scheduling, and operational decisions made in connection with your use of the Service, and for ensuring those decisions comply with applicable laws, regulations, accreditation standards, and organizational policies.

4. Plan Values Are Not Recommendations

Plan values, targets, benchmarks, variance calculations, and any other figures represented anywhere in the tool do not constitute recommended staffing levels. They are reference points derived from the inputs you provide and, where applicable, de-identified aggregated data.

You should independently verify any figure before relying on it and apply your own professional judgment to the specific circumstances of your facility, unit, patients, and staff.

5. Your Content and Benchmarks

You retain ownership of the plans, facility information, and other data you submit to the Service ("Your Content"). You grant Hi-Res a license to host, store, process, and use Your Content to operate and improve the Service.

You also agree that Your Content may be de-identified and combined with data from other organizations to produce aggregated benchmark statistics, as described in our Privacy Policy. You represent that you have the right to submit Your Content and to permit this use.

6. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law or regulation;
  • Upload information you do not have the right to share, or information that includes protected health information about identifiable patients unless expressly permitted by us in writing;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Interfere with or disrupt the integrity or performance of the Service; or
  • Copy, resell, reverse engineer, or create derivative works from the Service except as permitted by law.

7. Subscriptions and Payment

Certain features are offered on a paid basis. Fees, billing cycles, and any applicable taxes will be described at the point of purchase. Payments are processed by our third-party payment processor. Unless otherwise stated, subscriptions renew automatically until cancelled, and fees already paid are non-refundable except where required by law.

8. Intellectual Property

The Service, including its software, design, and content (excluding Your Content), is owned by Hi-Res and protected by copyright, trademark, trade secret, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted in these Terms are reserved by Hi-Res.

"Hi-Res Health Ops" and "Nurse Staffing Tool," together with the Hi-Res logos, are trademarks of Hi-Res Health Ops, LLC. You may not use these marks, or any confusingly similar marks, without our prior written permission.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output will be accurate or suitable for your purposes.

10. Limitation of Liability

To the fullest extent permitted by law, Hi-Res and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service or any staffing decisions made in connection with it. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.

11. Indemnification

You agree to indemnify and hold harmless Hi-Res from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your staffing or operational decisions, or your violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will continue to apply.

13. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws principles.

Before bringing any formal claim, you agree to first contact us and attempt in good faith to resolve the dispute informally. If the dispute cannot be resolved informally, you agree that it will be brought exclusively in the state or federal courts located in Charleston County, South Carolina, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or other equitable relief to protect its intellectual property or confidential information.

14. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Hi-Res regarding the Service and supersede any prior or contemporaneous agreements on that subject.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
